Service Agreement
Service Agreement This Service Agreement (“Agreement”) is made between Umedia LLC (“Company”) and the Client (“Client”), governing the terms and conditions of real estate media services provided by the Company. 1. Pricing and Payment Terms 1.1. Agreed Pricing The Client acknowledges that the pricing for services has been agreed upon prior to the appointment. Prices are subject to change if the Client approves additional services or if the actual property size exceeds the stated dimensions. 1.2. Travel Fees Travel fees may apply for properties outside the Company’s standard service radius. The Client will be informed in advance if a travel fee is applicable. 1.3. Payment Terms Full payment must be made within 14 days of media delivery, irrespective of whether the media has been used. The Client is prohibited from using the media until payment is completed. Violation of this clause may result in legal action. Accepted payment methods include credit cards, Zelle, PayPal, Venmo, checks, and cash. 1.4. Late Payments Late payments may incur additional fees or penalties as deemed appropriate by the Company.
2. Appointment Terms 2.1. Attendance and Access The Client or property owner must be present during the shoot or provide remote access details such as a lockbox code. 2.2. Rescheduling and Cancellation Appointments must be rescheduled or canceled at least 24 hours in advance. Cancellations within 24 hours are subject to a $100 fee. Weather-related cancellations are not accepted unless due to severe natural events (e.g., hurricanes, floods, tornadoes). 2.3. Property Readiness The property must be 100% ready for the scheduled appointment time. Cleaning or preparation delays causing the photographer to wait are considered a same-day cancellation, incurring a $100 fee. The Client must ensure that lights are turned on, curtains and blinds are opened, and animals are secured away from the shoot area. 2.4. Timeliness Delays caused by the Client or circumstances beyond the photographer’s control may result in additional fees for overtime.
3. Media Production Guidelines 3.1. Standard Workflow In the absence of specific instructions, the photographer will follow the Company’s proven standard procedures. The Client acknowledges the photographer’s expertise and agrees to waive any disputes based on stylistic preferences unless pre-specified. 3.2. Special Instructions All special requests or instructions must be provided before or during the appointment. 3.3. Media Selection The Client agrees that photo selection will not take place during the appointment. For specific angles or compositions, refer to Section 3.2. 3.4. Editing and Delivery Media will be delivered within one business day after the shoot. Complex projects may require additional time. The Client must inform the Company prior to the appointment if the project has time-sensitive requirements. First and second rounds of edits are included at no extra charge. Additional editing requests beyond the second round will incur fees as follows, unless otherwise agreed with the company: $5 per photo $50 per video $35 per virtual staging or retouch
4. Intellectual Property 4.1. Usage Restrictions Media may not be used before payment is completed. The Client is prohibited from transferring media rights to third parties without prior consent from the Company. 4.2. Copyright Infringement Unauthorized use of media may result in legal proceedings.
5. Client and Property Owner Obligations 5.1. Property Conditions The Client is responsible for ensuring the property is prepared as it should appear in the final media. Photographers are not liable for damages to blinds, lamps, or other items adjusted for the shoot. 5.2. Pet Policy Pets must be removed from the property during the shoot to avoid potential issues such as allergies, attacks, or distractions. 5.3. Access to Property The photographer must have access to the property at the scheduled time. If access is not granted within 15 minutes of the appointment time, it is considered a same-day cancellation, and a $100 fee applies.
6. Liability and Insurance 6.1. Photographer Safety Photographers are insured and trained. However, the Client must avoid situations where the photographer interacts with fragile or valuable items to prevent accidental damage. 6.2. Service Guarantees If the media does not meet the quality standards outlined in the Company’s portfolio or is not delivered within the agreed timeframe due to the Company’s fault, the Client is entitled to either a refund or a reshoot.
Acknowledgment and Agreement By engaging the Company’s services, the Client agrees to the terms and conditions outlined in this Agreement. This Agreement is binding and enforceable by law.
